Terms and Conditions

No conditions other than those set out on this page will be binding on Bridge Interpreting Services Ltd. unless otherwise specifically agreed in writing by a Director of Bridge Interpreting Services Ltd. These conditions shall be incorporated in every quotation, acceptance and contract for work.

In submitting a text for translation or booking interpreting services, any individual or corporate body (hereinafter referred to as "Client") enters into a binding agreement with Bridge Interpreting Services Ltd. (hereinafter referred to as "Company"), said agreement being covered by the following terms and conditions:

Quotes for translation

Quotations are not binding and are given subject to confirmation upon receipt of the actual order. Written quotations remain valid for 30 days after dispatch.

Quotations are given on the basis the description of the source material, the purpose of the translation and any other instructions. Such quotations may be amended.

Translation Services

When commissioning a translation, the Client shall clearly indicate the intended use of translation, e.g. whether required for:

Where the purpose of a translation is not disclosed to the Company, the Company shall execute the translation to the best of its judgement in accordance with one of the purposes specified above as if its purpose had been disclosed. The Company shall indicate the purpose for which the translation was supplied and will determine the charge accordingly.

Unless translation is undertaken for information only, proofreading is required.

Should the Client desire to use a translation for another purpose than that for which it was originally supplied, the Client shall obtain confirmation from the Company or another competent authority that the translation is suitable for the new purpose.

The Company reserves the right to amend and adapt such a translation previously supplied (if necessary) for the new purpose and make a further charge for such work.

The translation may not be edited by the Client or any other third-party.

The cost of the translation shall be determined in accordance with the appropriate scale of charges of the Company applicable to the particular type of translation required.

The Company reserves the right to suspend its normal Scale of Charges when accepting a Commission.

A surcharge may be levied on urgent translations.

Delivery ‐ general terms

The Client shall give a clear indication of his/her delivery requirements when submitting texts for translation, and the Company will make every reasonable effort to meet the Client's requirements.

Any date given for delivery is intended as an estimate only. The Company will make every effort to meet the deadline but will not be liable to make good any loss arising from failure to meet an estimated date.

Delivery is deemed to have taken place by emailing, faxing, posting or delivery by courier. The Company will retain a copy of the translation and, in the event of there being any loss or damage, will forward a further copy free of charge.

Late delivery shall not entitle the Client to withhold payment for work done.

Delivery ‐ required deadline

Where a delivery date is a material part of a Commission accepted by the Company, this shall be disclosed unambiguously by the Client in advance.

The Company reserves the right to sub-contract all or part of the documents to a contractor of its choice in such an event to meet the Client's requirements, unless expressly stipulated otherwise by the Client, and the Client shall pay any additional reasonable charges incurred by the Company as a result.

Should any translation in whole or in part be delivered too late for the Client's use, and be thus unacceptable, the Company requires the immediate return of the translation together with the Client's signed confirmation that the translation will not be used in any way.

The Client reserves the right to refuse paying any commission in those circumstances.

Payment

Unless otherwise stated prices are in £GBP and are exclusive of VAT. Invoices will include taxes where applicable.

Payment is requested by direct bank transfer or cheque. All payments must be made without deduction of bank charges.

Payment must be received within 30 days of date on which the invoice was issued.

Failure to adhere to the Terms of Payment agreed between the Client and the Company shall entitle the Company to abandon any Commission in hand, without prejudice to any rights of the Company whatsoever.

Data Protection

The Company and the Client shall ensure that in the performance of its obligations under these Terms and Conditions it will at all times comply with the relevant provisions of the Data Protection Act 1998.

If the Company is required to process any data in the course of providing services it shall do so only on the instructions of the Client.

Confidentiality

The Company and the Client agree not to use nor disclose to third parties any of the other parties Confidential Information.

Cancellation

If for any reason work which has been commissioned is cancelled, charges will be payable for all the completed work up to the cancellation date and for all other costs and expenses incurred.

If work which has been commissioned is suspended or postponed for a period of 21 days or more, charges will be payable for all commissioned work up to the date of suspension or postponement and for all other cost and expenses incurred.

If interpreting work is cancelled within 24 hours of the appointment, a late cancellation charge equal to one hour interpreting cost shall apply.

Force Majeure

In the event of a Force Majeure situation, the Company shall notify the Client without delay, indicating the circumstances. Force Majeure shall entitle both the Company and the Client to withdraw from the Commission and the Company shall be relieved of all liability in respect of its obligations which it cannot fulfil. The Client undertakes to pay the Company for work already completed. The Company will assist the Client to the best of its ability to place his Commission elsewhere.

Force Majeure shall include Strike, Lockout, Industrial Dispute, Civil Commotion, Natural Disaster, Acts of War and any other situation which can be shown to have materially affected the Company's ability to deal with the Commission as agreed.

Liability

The Company's entire liability to the Client under these Terms shall not exceed the price payable to the Company by the Client to which any claim relates.

The Company shall not be liable in any circumstances whatsoever for any consequential loss or damage of any kind (including loss of profit) and the Client shall indemnify the Company against all claims and demands upon the Company for any such consequential loss or damage.

Any materials submitted by the Client or to the Client over the internet cannot be guaranteed to be free from the risk of interception, even if transmitted in encrypted form. The Company has no liability for the loss, corruption or interception of any materials.

In the event of use of a translation by the Client for a purpose other than that for which it was supplied by the Company, the Client shall not be entitled to any compensation by the Company, and the Client shall indemnify the Company against any loss arising to the Company of goodwill or otherwise as a result.

Arbitration

Disputes between Company and Client shall be settled by Arbitration.

Arbitration shall be governed by the Rules laid down for the time being by the Association of Translation Companies, which will be supplied on request.

The decision of the Arbitration Tribunal shall be binding on all parties involved and shall be final.

These general Conditions of Service shall be interpreted in accordance with English Law.

Use of Interpreters / Translators

The Client shall not for a period of one year after the end of any agreement by the Company to provide services, employ or endeavour to entice away from the Company or use the services of a translator, interpreter or any other person who has provided the work to the Client on the Company's behalf. This applies either directly or indirectly, on their own account or for any other person, firm or company.
